These terms govern quotations, orders and the supply of goods and fabrication services by Dinaric Steel Ltd, and your use of this website. Please read them carefully. By placing an order you accept these terms.

1Definitions

"We", "us" and "our" mean Dinaric Steel Ltd. "You" and "your" mean the customer placing an order. "Goods" means the steel products supplied by us. "Services" means any fabrication, processing or related work we provide. "Order" means your request to purchase Goods or Services. These terms apply to business customers and are not intended for consumers.

2Quotations and orders

Quotations are invitations to deal and do not constitute a binding offer. Unless stated otherwise, a quotation is valid for 14 days and is subject to the Goods remaining available and to confirmation of mill and supplier pricing at the time of order. A contract is formed only when we confirm your Order in writing. Product images, drawings and technical figures on this website are illustrative and are not to scale.

3Prices and payment

Prices are quoted exclusive of VAT (where applicable) and on the Incoterms stated in the quotation. Prices may be quoted in pounds sterling or euro. Because Goods are sourced to order, quoted prices are held only for the validity period and may be revised to reflect changes in mill prices, raw-material costs, exchange rates, freight, duties or taxes before an Order is confirmed.

Payment terms are as set out in the quotation or Order confirmation. Where payment is not made by the due date, we may charge interest and reasonable recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4Sourcing and lead times

We do not hold UK stock. Goods are produced and shipped to your specification on a sourced-to-order basis. Any lead time we give is a good-faith estimate, not a guarantee, and runs from confirmation of the Order and receipt of any required deposit. We are not liable for delays caused by mills, carriers, customs authorities or other matters outside our reasonable control.

5Specifications, grades and certificates

Goods are supplied to the grade, dimensions, finish and standard agreed in the Order. Steel grades are typically supplied in the range S235 to S355 to the applicable European standards. Mill test certificates under EN 10204 (type 2.1, 2.2 or, where the mill confirms, 3.1) are provided with the relevant consignment where specified. Tolerances follow the applicable product standard (for example EN 10219 for cold-formed hollow sections). It is your responsibility to satisfy yourself that the specification ordered is suitable for your intended use.

6Delivery, risk and customs

Delivery is made in accordance with the agreed Incoterms. Risk in the Goods passes to you on delivery as defined by those Incoterms. Where we arrange customs clearance and duties, this is done on the basis set out in the quotation. You must inspect the Goods on delivery and note any shortage, damage or discrepancy on the delivery documentation.

7Title

Title in the Goods does not pass to you until we have received payment in full of all sums due. Until title passes, you must store the Goods so that they remain identifiable as ours.

8Claims, shortages and returns

Claims for shortage, damage in transit or non-conformity must be notified to us in writing within 7 days of delivery, with supporting detail. Because Goods are produced to order, they are not returnable for change of mind. Nothing in this clause affects your statutory rights in respect of Goods that are defective or not as described.

9Fabricated steelwork

Where we supply fabricated or structural steelwork, fabrication is carried out to EN 1090 (Execution Classes EXC2–EXC3) through our certified fabrication partner, and a Declaration of Performance is issued for the relevant project. Fabrication is performed strictly to the drawings, specification and execution class agreed in the Order. You are responsible for the accuracy and completeness of the drawings and information you provide.

10Warranties and liability

We warrant that, at the time of delivery, the Goods will conform in all material respects to the agreed specification. To the fullest extent permitted by law, all other warranties, conditions and terms implied by statute or common law are excluded. Our total liability arising from or in connection with any Order is limited to the price paid for the Goods or Services giving rise to the claim. We are not liable for indirect or consequential loss, loss of profit, loss of contract or loss of business. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited.

11Force majeure

We are not liable for any failure or delay in performing our obligations where this is caused by events outside our reasonable control, including but not limited to supply shortages, mill or carrier delays, industrial action, customs or regulatory action, extreme weather, or interruptions to power, transport or communications.

12Intellectual property

All content on this website, including text, graphics, technical illustrations and logos, is owned by or licensed to us and is protected by intellectual-property law. You may not reproduce or use it without our written permission.

13Governing law and jurisdiction

These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
